1. Acceptance of Terms

By accessing or using TransforMed Arrogyam's website, applications, platforms, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not access or use our Services. These Terms constitute a legally binding agreement between you and TransforMed Arrogyam Technologies, Inc. ("TransforMed Arrogyam," "we," "us," or "our"). We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the date at the top of this page or by other means. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

2. Description of Services

TransforMed Arrogyam provides AI-powered medical technology solutions including but not limited to: neurological screening platforms (NeuroScan AI), cardiac monitoring systems (CardioPulse), oncology pathology AI (OncoPath), genomic interpretation platforms (GenomeDecode), and telehealth infrastructure (RemoteCare Hub). Our Services are intended for use by licensed healthcare professionals, healthcare institutions, research organizations, and patients under clinical supervision. The Services are not a substitute for professional medical judgment. All clinical decisions must be made by qualified healthcare providers. We reserve the right to modify, suspend, or discontinue any Service at any time with or without notice.

3. Medical Disclaimer

IMPORTANT: TransforMed Arrogyam's AI-powered tools are designed to assist, not replace, qualified healthcare professionals. Our platforms are decision-support tools — all diagnostic, therapeutic, and treatment decisions must be made by licensed clinicians based on their independent professional judgment. TransforMed Arrogyam does not provide medical advice, diagnosis, or treatment. The information and outputs provided by our Services should not be used as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. In an emergency, call your local emergency services immediately. Do not rely on our Services for emergency medical situations.

4. Privacy & Health Data

TransforMed Arrogyam takes the privacy of your health data extremely seriously. We comply with applicable data protection laws including HIPAA (Health Insurance Portability and Accountability Act), GDPR (General Data Protection Regulation), and other applicable regional regulations. Health data processed through our Services is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. We implement administrative, technical, and physical safeguards to protect personal health information. By using our Services, you consent to the collection, processing, and use of health data as described in our Privacy Policy. De-identified and aggregated data may be used to improve our AI models, subject to applicable law and our privacy commitments.

5. Intellectual Property

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, AI models, algorithms, software, source code, and documentation — are the exclusive property of TransforMed Arrogyam Technologies, Inc. and are protected by copyright, patent, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of our Services without express written permission from TransforMed Arrogyam. Any feedback, suggestions, or ideas you provide about our Services may be used by TransforMed Arrogyam without any obligation to compensate you.

6. User Obligations

As a user of our Services, you agree to: (a) provide accurate and complete information when registering and using our Services; (b) maintain the security of your account credentials and notify us immediately of any unauthorized access; (c) use the Services only for lawful purposes and in accordance with these Terms; (d) comply with all applicable laws and regulations, including those governing healthcare data privacy and medical device usage. You agree not to: (a) use our Services to provide false, misleading, or fraudulent health information; (b) attempt to reverse-engineer, decompile, or extract the source code of our AI models or software; (c) use automated tools to scrape, crawl, or extract data from our platforms; (d) circumvent any security measures protecting our Services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRANSFORMED ARROGYAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL TRANSFORMED ARROGYAM'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

8. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, in accordance with its Commercial Arbitration Rules. You waive any right to participate in class-action lawsuits or class-wide arbitration. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

9. Termination

TransforMed Arrogyam reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent or illegal activity, or inactivity. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law sections) shall survive. You may terminate your account at any time by contacting us at legal@transformed-arrogyam.health. Upon account termination, we will handle your data in accordance with our Privacy Policy and applicable law.
